Terms of Service
In one paragraph. We provide software that runs automated conversations on messaging platforms. You are responsible for the messages your bot sends, for having the right to message the people it messages, and for following the rules of whichever platform you connect. We keep the service running and handle your data as described in the Privacy Policy.
1. The agreement
These terms govern your use of ChatThru (the "service"), provided by ChatThru ("we", "us"). By creating an account, connecting a channel, or using the console you agree to them. If you accept on behalf of a company, you confirm you may bind that company.
If you are an agency using the service on behalf of your own clients, you remain responsible to us for their use of the service.
2. Accounts and access
- You sign in through an identity provider. Keep that account secure; activity under it is treated as yours.
- Invite only the people who need access, and give them the smallest role that lets them work.
- Tell us promptly if you believe an account has been compromised, so we can invalidate sessions.
- You must be at least 18 and able to enter into a binding contract.
3. Acceptable use
You may not use the service to:
- send unsolicited bulk messages, or message people who have not invited contact;
- deceive people about who or what they are talking to — if a conversation is automated, say so;
- impersonate a person, brand or business you do not represent;
- distribute malware, phishing links or fraudulent payment requests;
- collect special-category personal information you have no lawful basis to process;
- process content that is unlawful, hateful, or exploits minors;
- probe, scrape, overload or reverse engineer the service, or attempt to reach another tenant's data;
- resell the service except under a written reseller or agency arrangement.
We may suspend a workspace immediately where continued operation would breach a platform's rules or the law, and we will explain why.
4. Messaging-platform rules
The service sits on top of platforms we do not control — starting with Meta's WhatsApp Business Platform. Your use is also governed by their terms and policies, including messaging limits, template-approval rules, opt-in requirements and the 24-hour customer-service window. In practice:
- We cannot guarantee a message is delivered: the platform decides.
- If a platform restricts or bans your account, that is between you and them. We will help you understand what happened.
- Feature availability depends on what each platform exposes, and may change when they change.
5. Your content and your customers
- You own the content you put into the service — bot flows, copy, catalogues, customer records — and you grant us the licence needed to store, process and transmit it so we can provide the service.
- You are the responsible party for your customers' personal information. You must have a lawful basis for messaging them, must honour opt-outs, and must answer their privacy requests. We act as your operator and will assist.
- You must keep your own privacy notice accurate about the fact that you use automation.
6. Fees and payment
- Plans, quotas and prices are those shown at sign-up, or in a written quote for agency and enterprise arrangements.
- Fees are invoiced in advance unless agreed otherwise; VAT is added where applicable.
- Message and conversation volume beyond your plan's quota may be billed in arrears.
- Late payment may result in suspension after reasonable notice.
- Third-party charges (for example WhatsApp conversation fees) are billed by that platform, not by us.
7. Availability and support
We aim to keep the service available continuously and to fix faults promptly, but we do not warrant uninterrupted service. Planned maintenance is announced in advance where possible. Anything described as a beta or preview feature is provided as-is and may change or be withdrawn.
8. Intellectual property
We own the service, its software and its documentation. You may not copy, modify or distribute them except as these terms allow. Feedback you send us may be used to improve the service without obligation to you.
9. Limitation of liability
To the maximum extent permitted by law, and subject to the paragraph below:
- neither party is liable for indirect or consequential loss, loss of profit, loss of goodwill, or loss of data arising from your own act or omission;
- our total aggregate liability arising out of or in connection with the service is limited to the fees you paid us in the three months preceding the claim;
- we are not liable for the acts, outages or policy decisions of messaging platforms.
Nothing in these terms excludes liability that cannot lawfully be excluded, including liability for fraud, or for death or personal injury caused by negligence. Nothing here limits your rights under the Consumer Protection Act, 2008 where it applies.
10. Termination
- You may stop using the service at any time; paid plans terminate at the end of the current billing period unless otherwise agreed.
- We may suspend or terminate for material breach, non-payment, or use that endangers the service or other tenants — with notice where practicable.
- On termination we make your data available for export for a reasonable period (at least 30 days), after which it is deleted in line with the Privacy Policy.
- Clauses that by their nature should survive termination — payment, liability, governing law — do survive.
11. Changes to these terms
We may update these terms as the product changes. The version and date at the top always reflect the current text. Material changes are announced to account holders before they take effect; continuing to use the service afterwards means you accept them.
12. Governing law and contact
These terms are governed by the laws of the Republic of South Africa, and the parties submit to the jurisdiction of its courts. If any provision is found unenforceable, the rest remains in force.
